Informação e arbitragem confidencial em companhias abertas brasileiras

Resumo

Transparency and disclosure of material information is one of the pillars of securities regulation. Arbitration, in its turn, is characterized by the possibility of total secrecy by choice of the parties and, even so, it is increasingly being used by Brazilian publicly-traded companies. With this in mind, this dissertation sought to assess the reality of the information made available by Brazilian publicly-traded companies in relation to arbitrations involving them. For this purpose, documents required by CVM regulations and made available by the companies, namely the Reference Forms and Material Facts, were analyzed. The research finding demonstrates that there is no standardization in these documents in the form of disclosure of the arbitration by companies, as well as that the content disclosed differs greatly among companies, even under the same regulation. In addition, we found that it is not possible to assess the meaning of materiality for disclosure purposes in relation to arbitrations, since there is great difference in what the companies disclose.
