Resumo

The present study aims to investigate the existence of an apparent conflict between the duty of information and the confidentiality of arbitration proceedings related to companies listed on the “New Market”, given the importance of such companies for the development and improvement of the Brazilian’s capital market. For this purpose, the doctrinal foundations that justify the importance of the information regime – which involves the duty to disclose material facts, as set forth in article 157, paragraph 4, of Law No. 6.404, of December 15, 1976 –, as well as the choice of arbitration as methods able to promote high level of corporate governance degree will be analyzed. In addition, there will be an analysis of the treatment given to confidentiality of arbitration proceedings by the Brazilian legal system in order to find out if this is an essential feature for all arbitration proceedings. Finally, it will be analyzed the position adopted by the Brazilian Securities Commission when judging Administrative Proceedings No. RJ 2008/0714 and No. RJ 2012/13700, when had the opportunity to address this issue. Finally, a critical analysis will be done of such an understanding, in order to demonstrate its possible impacts on companies of the “New Market”.
