Resumo

Information has become a central strategic asset in the contemporary business environment, making it indispensable to adopt legal mechanisms capable of ensuring its protection. In this context, confidentiality clauses play a significant role in business contracts by safeguarding trade secrets, business strategies, and other sensitive data, thereby enabling complex commercial relationships under conditions of legal certainty. This study examines the effectiveness of such clauses when a contractual dispute is submitted to judicial review, particularly in light of the tension between the private obligation of confidentiality and the constitutionally enshrined principle of procedural publicity. Based on an analysis of the contractual foundations of confidentiality, grounded in freedom of contract and objective good faith, the research investigates the extent to which such agreements may justify the granting of judicial secrecy, exceptionally provided for in Article 189 of the Brazilian Code of Civil Procedure. The study is developed through doctrinal and case law analysis, with particular attention to the jurisprudence of the Superior Court of Justice, which allows for a nonexhaustive interpretation of the statutory grounds for restricting publicity through a case-bycase balancing of interests. The central thesis advanced is that, although a confidentiality clause does not automatically require proceedings to be conducted under seal, it constitutes a legally relevant basis for granting judicial secrecy, provided that the strategic nature of the information and the potential harm resulting from its disclosure are duly demonstrated. Finally, the study proposes practical guidelines for the drafting and application of confidentiality clauses in business contracts, with a view to mitigating risks and strengthening legal certainty in commercial relations.
