Resumo

Selecting the case study format, the partner insurgency to reorganization is the main focus of this thesis. Based on Daslu case analysis S a relevant precedent on the shareholders’ rights in companies under reorganization S the intention is to approach, with a practical bias, the limits for partners’ or shareholders’ participation in the deliberating process of reorganization plan, including the development of an empirical framework upon the Brazilian courts’ position on conflict of interests in the exercise of the right to vote, provided in article 43 of Law nº 11.101/2005, and the legitimacy to appeal by the partner or shareholder against the decision which grants reorganization, under article 59, paragraph 2, of Law nº 11.101/2005.
