Resumo

This study verified the determining characteristics for the pricing of Certificados de Recebíveis do Agronegócio (CRA) in Brazil. Previous studies were based on CRA samples restricted to public offerings following the regulations under CVM Instruction nº 400/2003 and had a database up to 2019. In contrast, the present study covered all the primary CRA issues distributed under CVM Regulation nº 160/2022, which summarized CVM Instructions nº 400 and nº 476, unifying the rules and regulations for public offerings under a single regulation. The sample considered CRA indexed to the DI rate, issued in the period between January 2023 and February 2024, and under the new regulatory framework for the securities´ distribution, CVM Resolution nº 160/2022. The main contribution in relation to previous studies is a greater understanding of the factors determining the spread of primary CRA issues, more specifically evaluating whether information asymmetry is a significant variable for estimating CRA remuneration. Information asymmetry was addressed through the variables of investment funds that invested in CRA and the legal nature of the debtor, whether it is a public company. The results indicated that there is evidence of the influence of information asymmetry on the determination of remuneration of CRA. It was also concluded that the higher the volume of issuance and the presence of a rating assignment, the lower the spread. On the other hand, a positive relationship was observed between the presence of guarantees and the remuneration paid.
