Resumo

This study aims to analyze the active legitimacy in the debenture legal proceeding process. To this end, it is essential to examine the legitimacy of the fiduciary agent, representative of the debenture holders' collective, which can be ordinary or extraordinary. Upon concluding
 by the fiduciary agent's extraordinary legitimacy in the defense of the interests of the communion, by the attribution of Law 6.404/76, one seeks to identify whether or not there was the exclusion of the debenture holder's ordinary legitimacy. In this regard, are explored the Constitution of the Republic, Law 6.404/76, and Decree-Law 781/38, which originate controversy about its tacit revocation. Given the impossibility of finding the tacit revocation of the Decree 781/38, is identified the possibility of attributing subsidiary legitimation to the
 debenture holder. However, after analyzing the doctrine, the jurisprudence, and attributes inherent to the issuance of debentures, it is concluded that the fiduciary agent's exclusive legitimacy for filing civil enforcement in the protection of the interests of the debenture holders' collective, thus excluding the right debenture holder's action plan, individually.
