A tríade dos artigos 60, 66 e 66-A como mecanismos de segurança para a não sucessão de obrigações propter rem de caráter ambiental na alienação de ativos em recuperação judicial

Resumo

This dissertation examines the intersection between legal certainty for asset purchasers in judicial reorganization proceedings and environmental obligations arising from propter rem liabilities. It focuses on the interpretation of Articles 60, 66, and 66-A of Law No. 11.101/2005, as amended by Law No. 14.112/2020, to determine whether the non-succession regime extends to environmental liabilities attached to the asset. The research adopts a qualitative and descriptive approach based on legal doctrine and statutory interpretation, emphasizing the structural tension between economic efficiency and ecological protection within the Brazilian legal system. The study concludes that the prevailing interpretation of the reorganization framework prioritizes transactional stability and market predictability over the full effectiveness of environmental responsibility. This outcome, however, is provisional and politically shaped, requiring reinterpretation in light of Article 225 of the Federal Constitution and the nonregression principle in environmental law. To reconcile these competing values, the dissertation proposes integrating preventive and procedural mechanisms — particularly, a mandatory environmental due diligence process — into judicial asset sales. Such diligence not only strengthens the purchaser’s good faith and transparency but also gives concrete effect to the precautionary principle, ensuring that business preservation does not occur at the expense of environmental protection and intergenerational equity.
