A teoria do Contract Design como forma de prevenção de litígios em casos de resilição unilateral de contratos de distribuição vigorando por tempo indeterminado

Resumo

This study examines the complexities currently exiting in the Brazilian legal and economic scenario regarding the unilateral termination of Distribution Agreements in force for an undetermined term, which results in legal uncertainty and higher transactions costs to the distribution activity in the country. To assist in this objective, the study starts with a detailed analysis of the Distribution in Brazil, as well as of the institute of the unilateral termination for this type of contract and its complexities. At this point, the jurisprudential understanding of the Superior Court of Justice (STJ) regarding this theme is also analyzed. Once the problem is duly assessed, the study presents the theory of Contracts Design as an effective alternative for preventing or at least mitigating litigation regarding this theme and, therefore, a possible option to solve in advance cases involving the unilateral termination of Distribution Agreements in force for undetermined term. Finally, some unilateral termination clauses available in the market are analyzed to, then, a proposal for a new clause based on the Contract Design be presented as an incentive to efficient writing of contracts to elucidate the problem.
