Resumo

In first place, this paper looks forward to demonstrate the relevance of the judicial reorganization of companies with respect to the increase of value of the assets, considered as a whole (value of going concern), when kept operating, according to the common pool assets theory. Afterwards, will be verified how the legal regime of sale of assets should be, in way to increase de value of the assets sold, together with a comparison between the legal regimes of the contract of trespasse, regulated by the Civil Code of 2002, and of the judicial reorganization, established in Law nº 11.101/05, specifically with respect to the sale of isolated productive units. The distinction between the institutes of the trespasse and of the judicial reorganization will be made mainly based on characteristics related to the succession of the liabilities of the commercial establishment (or productive unit) in the moment of its sale to third parties, and how the asymmetry of information can influence the increase of value, in the moment of the sale of the assets, in each one of the regimes.
