Requisitos da ação derivada por abuso de poder de controle

Resumo

This paper analyzes the requirements set forth under Brazilian corporate law that should be complied with by minority shareholders for the filing of a derivative suit against the controlling shareholder on behalf of the company. In addition, it also analyzes if the adequacy of representation requirement, adopted in the United States, should be respected by minority shareholders in Brazilian legal system or if Brazilian corporate law should be amended to set forth the said requirement. To properly address the issue, this paper examines how the adequacy of representation requirement is applied in the United States. Secondly, it investigates whether the reasons presented by Brazilian scholars to justify the application of such requirement for Brazilian class actions are also suitable to defend its application to the derivative suits, regardless of a legislative innovation.
