Resumo
This paper examines, through a theoretical-normative approach and a comparative method, the extent to which mechanisms systematized by Law No. 14,133/2021 may be selectively incorporated by state-owned enterprises engaged in economic activity to enhance the efficiency of their procurement processes (understood as improving the relationship between means and ends) by reducing disproportionate transaction and compliance costs, mitigating asymmetries and modeling and execution risks, and increasing predictability and legal certainty. The study begins by characterizing the unique legal regime applicable to state-owned enterprises, marked by a hybrid nature: the simultaneous requirement of business rationality in a competitive environment and the incidence of structuring public law duties (legality, impersonality, transparency, integrity, and accountability). It then highlights significant convergences between Law No. 13,303/2016 and Law No. 14,133/2021, particularly regarding planning, contractual governance, integrity, risk management, standardization, and auxiliary procedures, distinguishing genuinely innovative solutions from provisions already present, albeit under different wording. Based on this diagnosis, the paper adopts an institutional adherence criterion to guide incorporations, prioritizing instruments that strengthen cost-effectiveness, advantageousness, governance, and contractual performance, while rejecting imports that merely increase bureaucracy without measurable gains. As its core contribution, the paper consolidates a proactive agenda aimed at densifying procurement and contracting regulations, as this constitutes the most feasible managerial implementation path and ensures compatibility with the regime governing state-owned enterprises, without prejudice to the occasional indication of proposals requiring formal legislative amendment, thereby delineating the limits of the infra-legal space.
