Os covenants em operações financeiras de dívida corporativa

Resumo

This thesis intent to address the mechanism of covenants from the perspective of corporate debt contracts, especially for issues of debentures and certificates of real estate receivables. The theoretical framework of this work was built from the emergence of this mechanism in the Brazilian legal system, due to contractual application in debt contracts. The verticalization began in comparative law, especially in the legal transplantation of the North American model to the Brazilian legal system. The research dealt with the contractual structure of covenants, from their qualifications, types, and practical restrictions. As a next step towards this study, the dissertation led to the legal qualification wich was analyzed from the perspective of the general theory of private law and contract law, in order to understand whether agreements constitute powers attributed to the creditor or obligations to specific execution. Finally the work presented the effects to wich de debtor will be subject in case of breach covenant, including the applicable jurisprudential treatment.
