Resumo

The present study aimed to contextualize and conceptualize hybrid organizations, social enterprises, and impact businesses through a literature of multidisciplinary nature, to then examine the emerging legislative landscape in the international and national scope, seeking to investigate the new legal models that enable the actions of entrepreneurs with a dual focus: solving problems in the social and/or environmental sphere, while using market practices and looking for financial return. The legislative models investigated share as a common ground the search for the promotion of social innovation and environmental sustainability, the purpose of generating a positive impact on society and/or the environment, the duty of administrators to promote the established purpose, the creation of value for various stakeholders, and the measurement of the impact produced. With this reference, it was possible to examine some of the main current legal models in countries of the American continent, such as Canada, the United States, Colombia, Ecuador, Peru, and Uruguay, in addition to the United Kingdom model, which influenced two Canadian legislations. From the observation of the international outlook and the Brazilian scenario added to the professional experience of the researcher, the study brought some reflections about the need for a new legal model in Brazil to regulate and foster businesses that intend to produce positive social and environmental impact, with the generation of economic value, reaching a conclusion as to the relevance of the existence of a new legal model that translates the interest of an ecosystem that demands its recognition and regulation.
