Oportunidades de avanço institucional na governança das estatais brasileiras

Resumo

This study aims to make a contribution to the improvement of the standards of governance of Brazilian state-owned enterprises (SOEs), from the perspective of the principal, the State. In this sense, the study conducts an adherence analysis of the Brazilian regulation on SOEs against the recommendations of the Organization for Economic Cooperation and Development (OECD) on SOEs’ corporate governance. Based on this analysis, it is demonstrated that the institutional reform promoted by the LRE (SOEs’ Responsibility Law) tends to promote relevant effects on the corporate governance inside the companies, but little innovation in the institutions that organize the function of the State of ownership and shareholder of companies, which results in the permanence of rules that are probable causes of the low performance of Brazilian SOEs. Therefore, based on good practices adopted by foreign governments, which have a greater adherence to the OECD recommendations, opportunities for advancement in the institutional framework governing corporate governance of Brazilian SOEs are pointed out.
