O tempo de decisão dos pedidos de reequilíbrio econômico-financeiro nos contratos de concessãocomo mitigar o risco de omissão administrativa

Resumo

The paper addresses the decision time of economic-financial rebalancing processes in concession contracts, focusing on the effects of administrative default on the legal status of the concessionaire and its repercussions on the concession contract. We argue that the stipulation of a contractual term without legal consequences as solution for this type of application does not constitute an adequate incentive to avoid opportunistic behaviors by the Government. Prolonged financial embarrassment can compromise the economic feasibility of the contract, making it impossible for the concessionaire to fulfill its investment agenda. The interruption of planned investments can be characterized as partial performance of the contract, exposing the concessionaire to the risk of incurring legal sanctions, regulatory sanctions and contractual sanctions, since administrative default in restoring the initial balance does not automatically suspend the enforceability of the concessionaire's obligations. Based on this diagnosis, the paper defends the need to improve the rebalancing process, with the attribution of a legal consequence for the default of the Government in deciding these applications within the contractually stipulated period or prescribed by the laws of the administrative process, in order to equalize the legal situation of the parties, making the concession contract more resilient in times of crisis of this nature.
