O seguro-garantia com cláusula de retomada à luz da lei n.º 14.133/2021

Resumo

This research analyzes the performance bond from a legal standpoint, through research on its concept, elements and legal nature. It addresses the guarantee in its general conception and its classification as special (personal and real guarantees), with emphasis on its application in public law. The work discusses the text and context of the contractual guarantee system in the Laws n. º 8.666/1993 and n. º 14.133/2021 and in the regulatory scope of Susep: Circulars n. º 477/2013 and n. º 662/2022. Descriptively examines the origin, definition, characteristics and discipline of the performance bond in light of U.S. public law, coupled with some notes of economic order. It maps out the most sensitive points for the effectiveness of the takeover performance option, involving themes related to the scope of its application, the takeover of the construction work in its subjective sense, the scope of the insurer's obligations, the inspection of the contract execution under the perspective of the insurer and of the Public Administration, the discretionary nature of the performance bond model and, more particularly, the coverage percentages provided for the new law. This last aspect is crucial to the viability of the assumption of the contract by the insurer. It demonstrates, through data from the TCU, that the new contractual guarantee percentages conceived by Law n. º 14.133/2021 would have little impact on the existing paralyzed or unfinished construction works in Brazil. It presents recommendations for the modeling of surety insurance with a takeover performance, with the goal of reducing friction and increasing incentives for the insurer to take over and complete the work affected by the default of the private contractor.
