A viabilidade jurídica da cédula de produto rural eletrônicae-CPR

Resumo

This work discusses the main obstacles to the creation, issuance, negotiation and registration of electronic negotiable instruments, in special the rural product bill [cédula de produto rural], used in several business transactions of the agribusiness chain. The study approaches subjects barely dealt with by the jurists or the case law, including not only the challenges of new technologies, such as the blockchain, but also those faced by the registrars for attending the aspirations of the current society, besides analyzing the impacts of laws recently passed (Electronic Receivables Act [Lei da Duplicata Eletrônica], the General Law for Data Protection [Lei Geral da Proteção de Dados] and the respective Provisional Presidential Decree, which partially amended and created the Brazilian National Agency of Data Protection) and even possible impacts of the new Commercial Code bill, in the case it is finally passed. The search for an alternative to the physical negotiable instruments or with transmutation of support made clear the possibility for reducing negative externalities, since it implies gain of time and scale – reducing transaction costs –, and this alternative may also strengthen the compliance policies in the corporative environment, since it gives transparency and efficiency to the internal and external processes, optimizing activities, reducing risks and increasing the profitability of the operations. Within this context, the work suggests the best practices that would follow up the effectuation of the electronic rural product bill without requiring an amendment to the law, but recommending the improvement of public policies seeking to adapt the regulation, in special as regards the registration of the security for the instruments.
