A Arbitragem Coletiva no Direito Societário

Resumo

This work seeks to analyse the possibility and advantages of classwide arbitrations as a means to efficiently protect the rights of investors in the stock market. In this context, the extent to which classwide arbitration can be applied in the Brazilian legal system is determined via a systematic comparison between the judicial public civil action — the Brazilian equivalent to the class action — and arbitration, including (i) whether disputes involving collective rights and interests of investors can be brought before an arbitral tribunal; (ii) whether and to what extent the parties authorized to pursue a public civil action before Brazilian State Courts are bound by arbitration clauses contained in the by-laws of publicly traded corporations; (iii) whether and to what extent the mechanisms intrinsic to the judicial public civil actions and those of the arbitral procedure are compatible with each other; and (iv) whether judicial rulings that reach entire classes of plaintiffs can be replicated by an arbitral award. Subsequently, the advantages and disadvantages of classwide arbitration are debated and determined by analysing its characteristics, costs and potential results in the fields of Brazilian Corporate Law where its application is viable.
