Responsabilidade social corporativa direito societário e a interpretação responsável do interesse social

Resumo

This work aims to contribute to the debate concerning the theme of Corporate Social Responsibility in view of the Brazilian corporate law. Today, the world's main social and environmental challenges concern the social community, which companies are part of. The positioning of shareholders with the sole objective of maximizing profits at any cost has become outdated and inconsistent with society's current demands and consciousness. Therefore, this work proposes a new interpretation of the company's interest in conjunction with the interests of the shareholders, stakeholders, society and environment. To this end, this work analyses the institutes of Corporate Social Responsibility, Company's Interest, Conflict of Interest and the Company's Social Function taking into account the national and international doctrines, and the Brazilian corporate law, in particular the Law No. 6.404 of 1976 (Brazilian Corporation Law). In addition, this work presents initiatives taken by Brazilian companies or through which Brazilian companies are affected in order to stimulate socially responsible business.
