Class actionestudo comparado das ações coletivas nos Estados Unidos e no Brasil

Resumo

The aim of this paper is to contribute with a comparative study of class actions in the United States and in Brazil. In the US model, class actions are the mechanism through which groups can claim the defense of an injured collective interest or right, pursuant to Rule 23. In Brazil, the main collective actions have a constitutional basis, such as public civil action (ação civil popular), popular action (ação popular) and collective writ of mandamus (mandado de segurança coletivo). However, from a corporate perspective, there is a gap in the protection of collective rights of shareholders and investors in the Brazilian legal system. As a result, private enforcement is weakened and there is a reduction in investors’ confidence in the Brazilian capital market. In this context, the purpose of this study is to analyze the proposal in Bill No. 2,925/2023 to create a collective civil action for liability similar to class actions in Brazil, through an exploratory methodology of the similarities and differences between the two countries. The analysis of the results indicates that the inclusion of a collective civil action in Brazilian legal system would be positive. Nevertheless, it is still to be debate whether all the proposals in Bill No. 2,925 jointly do not create a system of civil liability that is excessively onerous for administrators.
