Resumo

The present study has as its primary objective the analysis of a possible legal characterization of the reference shareholder within the scope of Brazilian legislation. Although frequently mentioned by market participants, the reference shareholder does not have a specific and express definition under Law No. 6,404/1976. The research therefore seeks to identify a potential legal framework for this type of shareholder, taking into account the distinctions among controlling shareholders, significant shareholders, and minority shareholders. To this end, the possible characteristics of the reference shareholder will be examined in comparison with the concepts set forth in Law No. 6,404/1976 and the functions inherent to each of these legal positions, with the purpose of proposing a functional adaptation that better reflects the reality of this type of shareholder.
